General Terms of Engagement

Introduction

Mark Newman (the Agent) is a registered agent for vtour360, a leading provider of professional property photography, comprehensive virtual tours, floor plans and quality brochures. By engaging the services of Mark Newman in commissioning photography or associated services (the Work), _________________ (the Client) agrees to the following terms:

Services Design

The Services are processed by vtour360 incorporating detailed content specified by the Client. It is the responsibility of the Client to warrant the accuracy of the design proposal, and to avoid any ambiguity it will be necessary for a project form (or approved alternative documentation) to be completed by the Client.

Location Availability

In order for Mark Newman to compile the desired services, accessibility to the subject location will normally be required for approximately 1-2 hours. It is the responsibility of the Client to facilitate the availability of, and permitted entry to, the location for the duration of this process. It is also the responsibility of the Client to ensure that the location is in a suitable condition for photographing. Any third-party personal information details provided to Mark Newman in order to accomplish the assignment will be handled in compliance with the Data Protection Act 1998.

Cancellation of Appointment

Cancellation of a prior appointment by either party must be made within an acceptable timescale. If, on arrival at an agreed appointment, the site cannot be accessed and/or preparation of the tour cannot be continued, Mark Newman reserves the right to make a charge for reasonable traveling and other out-of-pocket expenses. In the unlikely event that Mark Newman fails to keep an agreed commitment, a revised date will be set and Mark Newman will either undertake the tour and charge a reduced fee, or, at the discretion of the Client, the commission will be canceled.

Delivery of Commissioned Work

Mark Newman will use his best endeavors to process the work to a consistently high standard, and to deliver the completed work within 72 hours of attendance at the location, in an appropriate format (normally CD or e-mail) for subsequent use. Note that Mark Newman is not responsible for installing the completed Work on the Client's website or other computing facilities. It is the responsibility of the Client to ensure that the Work is completed to the agreed specification and to an acceptable standard. In the event of any accepted dispute regarding the quality of the supplied work, Mark Newman will either refund any prior payments made, or re-do the Work. Floorplan layouts incorporated within the virtual tours are generally for indicative purposes only and are not to scale.

Ownership Rights

Although the completed Work will be provided to the Client immediately after processing, the Work remains the property of Mark Newman until payment has been received in full. All intellectual property and copyright within the completed Work remains under the exclusive ownership of vTour360. (Delivered virtual tours must not be used in conjunction with any other virtual tour software).

Pricing

Each piece of Work, by its nature, is individually produced and Mark Newman will provide a quotation for commissions on request. Unless agreed otherwise in writing (see exceptions in appendix A), payment for the completed commission is due immediately after delivery on receipt of invoice. If the Client fails to settle the account within 30 days of invoice date, Mark Newman reserve the right to administer an interest charge of 4% per month above Bank of England base rate on outstanding monies owed.

Appendix A

Specific amendments to the General Terms of Engagement for Estate Agents: -
  1. Mutual agreement is such that invoicing will occur on the property sale completion, and therefore _________________ (the Client) are responsible for informing Mark Newman when this has occurred so that the respective invoice/s can be generated.
